Terms of Service (TOS) for Vertex Hosting

Welcome to Vertex Hosting. These Terms of Service ("TOS") govern your use of our cloud computing services. By ​using Vertex Hosting’s services, you agree to these TOS. If you do not agree to these TOS, do not use our services.

1. Definitions

• "Vertex Hosting" refers to the company operated by Goofy and TnssRD.
  
• "Services" refers to the cloud computing services provided by Vertex Hosting.
  
• "User" or "Customer" refers to anyone who uses the services provided by Vertex Hosting.
  

2. Services Provided

Vertex Hosting provides comprehensive cloud computing services, including but not limited to data storage, virtual ​servers, and other related services.

3. Use of Services

• Users must comply with all applicable laws and regulations.
  
• Users must not use the services for any unlawful or prohibited activities.
  
• Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur ​under their account.
  

4. Payment and Fees

• All fees for services are non-refundable.
  
• Payments must be made in accordance with the billing terms in effect at the time of payment.
  
• Vertex Hosting reserves the right to change its fees at any time with notice to the user. Continued use of the ​services after any fee change constitutes acceptance of the new fees.
  

5. Refund Policy

Refunds are generally not provided. However, in exceptional circumstances, a refund may be issued if explicitly ​authorized by an owner of Vertex Hosting. Any such refund will be at the sole discretion of the owner and will be ​considered on a case-by-case basis.

6. Liability and Disclaimer of Warranties

• No Warranties: The services are provided "as is" and "as available" without any warranties of any kind, either ​express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and ​non-infringement.
  
• No Responsibility for Damages: Vertex Hosting, including its owners, Goofy and TnssRD, and its staff, shall not be ​liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of the use of or ​inability to use the services. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or ​other intangible losses.
  
• Indemnification: Users agree to indemnify and hold harmless Vertex Hosting, its owners, and its staff from any ​claims, damages, or expenses (including legal fees) arising from their use of the services, violation of these TOS, or ​infringement of any intellectual property or other right of any person or entity.
  

7. Service Availability and Maintenance

• Vertex Hosting aims to provide continuous service but does not guarantee 100% uptime.
  
• Scheduled maintenance and required unscheduled maintenance may impact service availability. Users will be ​notified in advance of scheduled maintenance whenever possible.
  

8. User Data and Privacy

• Users retain all rights to their data stored on Vertex Hosting’s services. However, Vertex Hosting is not responsible ​for any loss, corruption, or unauthorized access to user data.
  
• Vertex Hosting implements reasonable measures to protect user data but cannot guarantee absolute security.
  

9. Misuse of Services

• Misuse of Vertex Hosting’s services will result in an instant ban from all services.
  
• Vertex Hosting is not responsible for any misuse of its services by users. Users found misusing the services will be ​solely responsible for any consequences arising from such misuse.
  

10. Termination

• Vertex Hosting reserves the right to suspend or terminate a user’s access to the services at any time, without ​notice, for conduct that Vertex Hosting believes violates these TOS or is harmful to other users of the services, or ​for other reasons deemed appropriate by Vertex Hosting.
  
• Users may terminate their use of the services at any time by contacting Vertex Hosting. Upon termination, users ​must cease all use of the services and delete any materials obtained through the services.
  

11. Intellectual Property

• All intellectual property rights in and to the services and all components thereof are owned by Vertex Hosting or its ​licensors.
  
• Users are granted a limited, non-exclusive, non-transferable license to access and use the services in accordance ​with these TOS. This license does not include the right to modify, distribute, or reverse engineer any part of the ​services.
  

12. Changes to the TOS

Vertex Hosting reserves the right to modify these TOS at any time. Any changes will be effective immediately upon ​posting on our website. It is the user’s responsibility to review the TOS regularly. Continued use of the services after ​any such changes constitutes acceptance of the new TOS.

13. Governing Law

These TOS shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to ​its conflict of law principles.

15. Miscellaneous

• Severability: If any provision of these TOS is found to be unenforceable or invalid, that provision will be limited or ​eliminated to the minimum extent necessary so that the TOS will otherwise remain in full force and effect.
  
• Entire Agreement: These TOS constitute the entire agreement between Vertex Hosting and the user regarding the ​use of the services and supersede all prior agreements and understandings, whether written or oral, relating to the ​subject matter hereof.
  
• No Waiver: The failure of Vertex Hosting to enforce any right or provision of these TOS will not be deemed a waiver ​of such right or provision.
  

By using the services of Vertex Hosting, you acknowledge that you have read, understood, and agree to be bound by ​these TOS.
